The duties of a principal under agency relationship are as follows:

  1. Duty to pay the agent’s fee or commission;
  2. Duty to indemnify the agent for all lawful acts carried out by the agent on the principal’s behalf;
  3. Duty to ratify the act of the agent as the case may be.
