ITA GEORGE MBABA, J.C.A. (Delivering the Leading Judgment): This appeal emanated from the judgment of Kano State High Court, in Suit No. K/606/2011, delivered on 1st March, 2016 by Hon. Justice S.B. Namallam, whereof the learned trial Judge entered judgment for the Counter-Claimant (now Respondent) in the sum of N59,960,680.74 (Fifty Nine Million, Nine Hundred and Sixty Thousand, Six Hundred and Eighty Naira, Seventy Four Kobo) only, with 10% interest on the judgment sum, from the date of the judgment till liquidation, and N50,000.00 cost against the Appellant.

At the trial, the Plaintiff (1st Defendant to the Counter-Claim) now Appellant, had initiated this action against the Defendant/Counter-Claimant (now Respondent) seeking the following reliefs:

(1) A declaration that the Plaintiff has nothing to do with the purported indebtedness of Mukhis Venture Ltd to the 1st Defendant.
