ADEREMI, J.C.A. (Delivering the Leading Judgment) In the court below (Federal High Court sitting in Lagos, the petitioner as respondent brought a petition pursuant to Sections 311(i), 311(2) (i), 311(2)(b)(i) and (ii) of the Companies and Allied Matters Act 1990 and Rule 4(i) of the Companies Proceedings Rules 1992 seeking against the 1st, 2nd, 3rd and 4th respondents who are appellants in this appeal and the 5th respondent (Ineh-Mic Holdings Limited the following reliefs:-

(i) An order of court declaring as null, void and of no effect, the Notice of Extra-Ordinary General Meeting under the hand of ASCO Secretary Services on the order of the board which Notice though undated, purported that the company was to hold an Extra-Ordinary Meeting on Wednesday the 30th July, 1997.

(ii) An order of the court declaring as null, void and of no effect the resolutions passed at the said meeting of the 30th of July, 1997 particularly the resolutions purportedly appointing the 2nd, 3rd, and 4th resp…
