ONNOGHEN, JCA (Delivering the Lead Judgment): This is an appeal brought by the appellants against the ruling of the Federal High Court, sitting at Ilorin, delivered by Hon. Justice A.A. JEGA in suit No. FHC/M/ 2/88 on the 2nd day of August 1996 in respect of an application by the respondent for leave to further amend the petition for winding up of the first appellant.
The facts of the case include the following. On the 22nd day of August 1988 the respondent filed a petition No. FHC/M/2/88 at the Federal High Court Ilorin for the winding up of the lst appellant which petition was later amended with the leave of court. On the 17th day of May, 1989, the respondent filed an interlocutory application for an Order to restrain PW Dublin from holding out itself as having proprietary interest either as share holder or Managing Director in the 1st appellant Company and to render accounts for the period Mr. H.V.
