FREDERICK OZIAKPONO OHO, J.C.A. (Delivering the Leading Judgment): This is an Appeal against the Ruling of the Federal High Court sitting in Lagos in suit No. FHC/L/CP/652/2011 filed by the Appellant as Petitioner on the 25-5-2011 in which the Petitioner instituted a winding-up proceedings against the Respondent as Respondent. The Petitioner in the Court below had prayed for the grant of the following reliefs:
(a) That the Respondent be wound up by the Court under the provisions of the Companies and Allied Matters Act Cap C20, LFN 2004.
(b) That the Official Receiver or such other person(s) as the Court may deem fit be appointed as Liquidators to immediately liquidate the Respondent pursuant to Section 422 of the Companies and Allied Matters Act, Cap C20 Laws of the Federation of Nigeria, 2004.
